The Company Secretary is ONLY a senior employee and chief secretary of a company. Do you agree?

Over the years, the role, position and status of a company secretary has evolved. However, there're different opinions on the extent of authority a secretary has. For instance, most state that secretaries only have authority in administrative matters; but a research in 1984 by Monsted and Garside found that 73% of the company secretaries who responded to the survey said they were involved in the management of the company. The figure rose to 87% in 1990, and could be higher now.

I disagree, assuming you are refering to a corporation.





The Corporate Secretary is an officer of the corporation and the duties of the corporate secretary are defined by state law, and by the bylaws of the corporation.





The corporate secretary is an executive, who is authorized to sign stock certficates, and is the only officer authorized to sign resolutions of the Board of Directors and Shareholders.
